Position Summary
This position will be the senior-most legal advisor to the CEO, the Board of Directors, and the rest of the executive management team. Accordingly, this role will have global responsibility for management and oversight for the Legal function which includes the following sub-functions: Contracts, SBA (U.S. Small Business Administration) Compliance, Procurement, Human Resources, and the Facility Security Office. This role will provide solutions-oriented advice and support on all aspects of federal government and commercial contracts, ensure compliance with federal regulations and SBA rules, and mitigate legal risks across the company. The successful candidate is further expected to be a contributing member of meaningful business discussions about the future growth and direction of the company which may not be legal in nature, in support of the mission and growth objectives. This position will also provide strategic guidance on best practices and risk tolerance. In addition, the General Counsel will have general oversight of the Human Resources function with the Director of HR a direct report. The position is remote anywhere within the United States; monthly travel expected. Base compensation range is approximately $250-350k.
Essential Functions
The responsibilities of this role include, but are not limited to, the following:
• Provide legal oversight on all aspects of business, with a focus on government contracting regulations, SBA rules, risk management, HR, and strategic planning
• Proactively provide analysis, insights and recommendations on legal and business contract issues, regulatory risks, while supporting business and growth objectives
• Partner with organizational leadership, contracts team and business leaders to lead and drive strategy on contracting processes, adopting best practices, tools, and training programs; collaborate with the Director of HR to oversee talent acquisition, employee relations, compensation and benefits, performance management, organizational development
• Continuously identify and mitigate legal and compliance risks; manage internal investigations and government audits as needed
• Advise, manage, and resolve contract negotiation escalations and disputes, transactional work, and due diligence
• Ensure compliance with federal, state, and local laws and regulations, equal employment opportunity relations, Collective Bargaining Agreement negotiations, Department of Labor and EECO interactions, inc.
• Oversee intellectual property protection and management
• Recruit and manage a team of proactive and solutions-oriented corporate legal function staff, as needed
Qualifications
• Juris Doctor (J.D.) from an accredited U.S. law school
• Active membership in good standing with the bar of at least one U.S. state or Washington, D.C.
• 12+ years of relevant and progressive law firm or in-house legal experience, including 5+ years in senior leadership positions in the federal government contracting industry
• Understanding of corporate governance and risk management practices, and experience working in multi-entity environments (i.e., multiple affiliated subsidiary entities) is required
• Substantial expertise with FAR, DFARS and industry-standard contractual terms and conditions is a must.
• First-hand experience with the Service Contract Act, Davis Bacon and Related Acts, federal cybersecurity regulations, federal construction projects, federal classified contracts, and alternative dispute resolution of contract matters is strongly desired
• Familiarity or experience with the execution of U.S. government contracts in international locations is a plus
• Familiarity with Small Business Administration’s 8(a) Business Development program is strongly preferred
• Experience managing labor and employment issues, from policy development to resolution of disputes including EEOC complaints, litigation, and settlement, using outside counsel resources as needed
• Strong communication and interpersonal skills, experience working as a member of a senior leadership team, and success leading and managing a multi-functional team
• Prior or current security clearance is preferred; eligibility for security clearance is required
