We have partnered with a growing consumer packaged goods company to help them find their first General Counsel. The ideal candidate will have 12+ years of legal experience, with at least 5 years in-house at a consumer-packaged goods or food/beverage company. Deep experience in IP licensing, contract law, and regulatory compliance experience is required, and managing major licensing relationships, preferably with entertainment brands, is a plus.
This is a high visibility role. In a fast-paced environment, you will collaborate with and advise the executive team and Board of Directors on all legal matters impacting the business. The successful candidate will be a solutions-oriented, proactive, and strategic business partner.
Legal & Compliance Leadership
• Advise the CEO, executive team, and Board of Directors on all legal matters.
• Oversee all legal functions, including corporate governance, compliance, contracts, litigation, employment law, and regulatory affairs.
• Ensure full compliance with FDA, USDA, CPSC, and other applicable federal/state regulations in the food and beverage industry.
• Maintain up-to-date knowledge and oversight of evolving state and federal regulatory requirements, including toy safety standards (e.g., ASTM F963) as applicable to our integrated toy and food products.
• Monitor new legislation and other legal developments impacting good2grow and proactively disseminate relevant information by way of training and seminars.
• Select, manage, and evaluate all outside counsel.
Licensing & Intellectual Property
• Structure, negotiate, and manage licensing agreements with top-tier entertainment studios.
• Provide counsel on intellectual property rights, including trademarks, copyrights, brand usage, character licensing, and brand protection.
• Collaborate with the marketing and product teams to ensure licensed content is legally and contractually compliant.
Commercial and Corporate Transactions
• Draft, review, and negotiate a wide range of commercial agreements, including distribution, manufacturing, co-packing, vendor, and sales agreements.
• Lead legal due diligence and execution for corporate financing, M&A, or joint venture activities.
• Support potential IPO readiness, including compliance with securities laws and capital markets activities.
Risk Management
• Proactively identify and mitigate legal and regulatory risks across the business.
• Lead internal investigations, handle dispute resolution, and manage relationships with external counsel.
• Develop and enforce company-wide policies on ethics, compliance, and training
