Korn Ferry has partnered with a high‑growth, private‑equity‑backed leading medical device manufacturer in a search for a General Counsel. Reporting to the CEO, this GC will serve as chief legal advisor and a core member of the executive leadership team.
This is a highly visible, enterprise‑level role for a business‑oriented legal leader who wants to play a direct role in shaping strategy, driving growth, and supporting value creation in a fast‑moving environment. The scope, pace, and visibility make this role especially compelling for a senior legal leader eager to build, lead, and leave a lasting impact.
The General Counsel will lead legal matters across the organization, with a strong focus on mergers and acquisitions, while building scalable legal infrastructure to support a rapidly expanding organization. This role combines strategic influence with hands‑on execution and close partnership with senior leaders and investors.
The Role
- Act as a trusted legal advisor to the CEO, executive leadership team, and private equity sponsor
- Participate as a senior leader in enterprise strategy, growth initiatives, and value‑creation planning
- Lead the legal execution of mergers, acquisitions, divestitures, joint ventures, and other strategic transactions, including due diligence, structuring, negotiation, and drafting
- Advise business leaders on deal strategy, risk allocation, and post‑transaction integration
- Own or guide commercial contracting across supply, manufacturing, distribution, partnerships, licensing, vendors, and services
- Establish scalable legal and contracting frameworks to support rapid growth and operational complexity
- Provide oversight of regulatory and compliance matters relevant to a regulated manufacturing environment, partnering with internal operational teams
- Manage legal risk related to regulatory requirements, product liability, and manufacturing operations
- Support corporate governance, including board and investor materials and entity management
- Manage outside counsel relationships and ensure efficient, pragmatic legal support
- Build and scale the legal function in alignment with organizational growth
The Ideal Candidate
- JD with active bar membership
- 10+ years of legal experience, including significant corporate transaction experience
- Deep experience leading M&A processes and negotiating complex commercial agreements
- Comfortable operating in lean, fast‑paced, private‑equity‑backed or high‑growth environments
- Business‑minded legal leader with sound judgment and a practical approach to risk
- Willing to travel ~30%
- Prior in‑house legal leadership experience, preferred
- Experience supporting private equity investors and boards, preferred
- Background in regulated manufacturing, medical devices, life sciences, or healthcare, preferred
Location: US Remote, with strong preference of Eastern or Central Time Zones
Compensation: Base compensation will be competitive and commensurate with experience with an expected range of $250,000 - $350,000 annually with a 25% bonus. Offers a comprehensive benefits package, paid time off, 401K, healthcare.
